Non-Exclusive Franchise Agreement For Construction and Demolition Debris Dear Mr. Mancil: Enclosed please find the original Non-Exclusive Franchise Agreement for your signature. Please review, initial the top of each page and sign the agreement. Below is a list of the paperwork needed to process your agreement. • If the applicant is not an individual, the applicant shall also: o Identify the officers and directors of a corporate applicant, together with proof of incorporation and good standing to do business in the State of Florida. o Identify the partners and anyone with controlling interests in an applicant which is a partnership, joint venture or other such entity. o Identify the names of any related corporations or business organization, including the parent corporation and any subsidiaries or affiliates. • Any applicant that operates under a fictitious name(s) shall submit information that such fictitious name(s) are registered in the State of Florida and held by the applicant. • Description of the equipment, facilities and staff that will be used to provide the proposed services under the Franchise. • Description of applicant’s prior experience and qualifications to collect and transport construction and demolition debris in the State of Florida. • Describe/identify any franchise, permit or licenses issued to the applicant and identify all of the communities where applicant operates/operated. • A list of all business vehicles and their license plate numbers. • Statement of whether the applicant or any Person controlling the applicant, or any officer or director, has within five years preceding the date of application had a solid waste or related franchise, permit or license revoked. • Proof of insurance as required in Article VIII of the Non-Exclusive Franchise Agreement for Construction and Demolition Debris. (Insurance certificates must be received directly from the insurance company/agent. We cannot accept insurance certificates from a third party) • A financial statement or other appropriate documents to demonstrate that the applicant has the financial resources to provide the proposed services on a continuous and uninterrupted basis throughout the term of the Franchise. • Statement that the applicant will comply with all of the applicable provisions of the Non-Exclusive Franchise Agreement for Construction and Demolition Debris. • Proof of holding a Martin County Occupational License/Business Tax Receipt for your proposed business (e.g., Rolloffs; Excavation & Hauling; Construction/Demolition Hauling). • ADDITIONAL INFORMATION FOR APPLICANTS • All Non-Exclusive Franchise Agreements will expire on May 31st. • Workers' comp/employers liability - $500,000. • Commercial General Liability - $1,000,000 per occurrence, include coverage for bodily injury, death, property damage and other liabilities from or related to Contractor's premises, operations, independent contractors, and contracts. Contractual coverage must specify that it covers the hold harmless provisions of the Agreement. • Certificate Holder (Liability Insurance) is: “Martin County Board of County Commissioners, 2401 SE Monterey Road, Stuart, Florida 34996”. Also under “Description of Operations” you must state: “Certificate Holder is additional insured with respect to General Liability”. • Vehicle liability - minimum combined single limits of $1,000,000 for all owned, hired, and non-owned vehicles, and/or any auto. • Umbrella liability insurance with a limit of not less than $2,000,000 and be form-following and shall mirror the underlying coverage. • Insurance companies must be authorized in State of Florida. Rated A-, IX or higher in the most recent edition of Best's Key Rating Guide Upon execution of the Agreement and all pertaining documentation, please forward the original agreement (copies cannot be accepted) and all the requested paperwork to Heather Renella at P.O. Box 9000, Stuart, Florida 34995. Our Legal Department will not approve the Agreement until all requirements are met. This Agreement shall be effective upon execution by the County’s duly authorized representative.
