PRESENTATION 5. OLD BUSINESS A. Art Inventory Repair S. Kores presented the committee with the current schedule of proposed art repairs. 1. Hobe Sound Beach – is under repair. Mia Lindberg and her team will repair/replace the beach the beach installation at no charge to Art in Public Places. 2. Halpatiokee - Mia Lindberg was on site with an aggregate specialist to determine what needs to be done to repair the mosaics. 3 of the 4 mosaics will need concrete repair before working on the tiles. Staff will continue to work with her. 3. Sailfish Splash Competition Murals – The proposal from Nadia Utto, artist, was presented. Ms. Kores outlined the 4 options for repair to the committee indicating that option #4 was the best choice to preserve the murals and would last for 5 years. - C. Hall – why are the murals cracking? - Nadia Utto – the cracks are from the concrete blocks settling. They were repaired 3 year ago and I don’t see that they are getting worse. The sun is brutal on the murals. They need to be UV protected. - R. Zurich – we need to verify that the cracks have been sealed. 4. Sailfish Splash Lazy River Murals – Ms. Kores presented the repair proposal from Shannon Wiley, artist. The Lazy River also has cracking but much worse. - M. Banas – addressed Nadia Utto: would you prefer to have Parks/Rec repair the cracks? 2 of 85 AIPP/Public Art Site Selection Committee September 24, 2018 Page 2 of 3 o N. Utto – the issue was already addressed. The small black cracks can be brushed clean and covered with my paint. o S. Kores – we can follow up with Sailfish Splash staff. 5. Rio Benches and Bike Racks – all repairs and updates complete. 6. Oasis Tile Bench – we will be following up on that status. 7. Manatee Gateway – we will discuss this at the next meeting. Ms. Kores presented the budget with the proposed repairs. - C. Hall – I don’t have issues with the proposals, but we don’t want any mitigating issues. - S. Tsaftarides – Parks needs to be more thoughtful. o S. Kores – these are AIPP projects, not Parks. - M. Banas – we need to question the potential issues to prevent them. Is there a point to battling it proactively or with this be a once a year issue? We need to ask the artists. - R. Zurich – if we get Parks/Rec to take care of the cracks, then I am ok with the art repair to move forward. I can accept the estimates and approve them assuming Parks/Rec with do the crack repairs. - C. Winters – we need to consider that it may need to be cleaned every year. MOTION - MOVED * M. Palazzo motioned to accept the staff recommended repair budget, but will wait on the Halpatiokee Panther mural until a clearer color rendering can be presented. ** C. Kores – they have gone above and beyond assisting with the murals at Sailfish Splash. o M. Palazzo – these are our projects not Parks. o N. Utto – for my part they are repaired and ready for paint. B. Public Art Program Management Document Review. S. Kores presented the proposed manual for the committees review. Additions yet to be included: Forms, Branding/Marketing, Contracts, Budget and How to Request Public Art. These will be included in the Final form. You can send your feedback to Susan. 6. NEW BUSINESS A. 2019 AIPP Meeting Calendar S. Kores presented the committee with the 2019 meeting calendar. MOTION - MOVED * C. Hall motioned to approve the 2019 meeting calendar. ** M. Banas seconded and the motion carried UNANIMOUSLY. B. Potential Art Donation S. Kores provided the potential art donation to the committee. The art which is a bronze sculpture depicting a Jamaican woman and stands 6’4” tall, 60” wide and 36” in depth was created by artist Valerie Bloomfield Ambrose. Her husband has offered the piece in hopes that it can stay in Martin County. - N. Turrell - The piece was created to be placed in Jamaica and was rejected by the country for political reasons. West Palm Beach has an Ambrose piece. - E. Lenihan – does the bronze need to be inside or outside? o N. Turrell – bronze can be outside. - M. Banas – probably should pass on it since we do not have a Jamaican community. - M. Palazzo – has staff vetted locations. o S. Kores – we will do that if the committee thinks it is something we want in the community. MOTION - MOVED * M. Palazzo motioned to direct staff to reject the bronze art donation. ** C. Kores presented the staff recommendation to hold a Local Artist Open House to meet local artists and become familiar with those involved in the local art scene. We need to re-introduce the Martin County Art in Public Places to the community and local artisans. Staff would like to explore working with the City of 3 of 85 AIPP/Public Art Site Selection Committee September 24, 2018 Page 3 of 3 Stuart. The vision for the event would be to have artists sign up for a table and introduce their work as well as a potential roundtable discussion or panel. We would like to propose a potential budget of $750 to include marketing, refreshments and signage. - C. Hall – I like the idea. - R. Zurich – we need to be educated and get local artist to tell us what we need in our community. - N. Turrell – it’s a busy time of year. I have spoken with Stuart and they are changing their ordinance and I am working with them on their LDRs, what’s art and what’s not. This would be a good time to work together. Something informal and educate both sides in a social setting. MOTION - MOVED * C. Hall motioned to approve the proposed artist open house, $750 budget and possible collaboration with City of Stuart. ** S. Public - Sheila Kurtz, Sewall’s Point – Martin Arts Alive is a great show. Lots of work has been done in the county. Sounds like this committee has a purpose to meet artists, people are here. - Nadia Utto – grateful that the AIPP is reactivated. I have lived here for 30 years and started the Hobe Sound murals projects. We have the mural trail as well, connected from Miami to Stuart. We are making Martin County a muraled county. I am very excited about the artist event. Also in 2009, I reached out and got a piece of the 9/11 building for Hobe Sound and it’s setting in storage. We need to get the piece out to the public. I presented the project with the piece in front of the world map made of stones from around the world. Think the project should be part of AIPP since it is an acquired piece of art. o S. Kores – we will have Nadia made a formal presentation at the next meeting. B. Members - M. Palazzo – attended a coastal cleanup at Hutchinson Shores. There is a great dolphin statue there. - C. Hall – The Treasure Coast Builder Assoc. and the Arts Council are hosting a meet and greet on October 9th at the Geoffrey Smith Gallery from 5:30-7:30 pm. You can RSVP to Nancy Turrell. - R. Artist Nadia Utto will present a potential public art project that combines a piece of the World Trade Center after 9/11 with hundreds of pieces of rock representing countries all over the world. Ms. Utto has been collecting these rocks for many years and has a project designed that incorporates these two things with a vision. In 2017, the Martin County Board of County Commissioners appointed the Community Redevelopment Agency Board members as the Public Art Site Selection Committee (PASSC). These five Committee members are tasked with reviewing and managing the county’s public Art in Public Places program regarding the purchase and/or commission of new pieces and the maintenance and repair of the current public art inventory. As of September 2018, seventeen sculptures, mobiles, stained glass windows, murals, mosaics, benches and photographs are now on display. The artworks are situated in libraries, fire stations, beaches, administration buildings, parks and other county owned properties. The PASSC strives to make each artwork relevant to the building and surrounding neighborhood. Community members, building staff (for example: firemen or librarians) and the architect are asked to serve on the project subcommittee when a project will be sited at a newly constructed county facility. With the subcommittee advice, the PASSC determines a theme or purpose for the artwork, asks artists to apply, selects an artist, approves the artwork, and brings it to the Martin County Board of County Commissioners for final approval. The entire process usually takes from 6 to 18 months. Funding for the artwork has varied from $1,000 to $40,000. The amount of money for public art is equal to 1% of the construction cost of a new or remodeled county facility, a new active regional park greater than 50 acres and parking facilities. In general, public art is works of art purchased for display in public places and buildings like parks, courthouses, libraries, community centers and fire stations. In the last 30 years the types of artworks have expanded from sculptures and paintings to include murals, tile mosaics, stained glass windows, furniture, iron gates, landscapes and almost anything that an artist can make or design. How does artwork get selected? Martin County can purchase existing artwork, accept artwork donations, commission temporary artistic installations or hire an artist or artist group to make new artwork. There are a variety of selection methods that can be employed depending on the situation. Please see Selection Methods and Management on page ___. The majority of projects will follow strict guidelines for the selection of artists in an open process as required by the Florida Sunshine Laws and Martin County. The PASSC seeks advice from county departments, project architect and interested citizens to determine the kind of artwork and/or its purpose. A” Call to Artists” application is written with all the criteria. The application is sent to artists and advertised locally. Artists submit their designs and the PASSC recommends an artist after reviewing all the applications. The Board of County Commissioners reviews the recommendation and, if found acceptable, approves the contract for the artist to produce the work. There are additional methods for selecting and acquiring artwork described on pages 11 and 12. Whatever method is utilized, the Board of County Commissioners has final approval. How does a particular building or park get selected as a site for artwork? A newly constructed or remodeled building or park must set-aside 1% of the construction budget for public art, then that facility will receive a work of art. The PASSC is not required by ordinance to spend the funds at that facility and may spend the dollars for artwork at another public facility, park or county owned land in Martin County. Where does the money come from to pay for the artworks? Certain County construction projects for new and renovated buildings, regional sports parks and parking facilities are required by County ordinance to set-aside 1% of the construction budget for public art. What is the responsibility of the Public Art Site Selection Committee? The PASSC selects the locations for new works of arts, advertises for artists, selects the artists for recommendation to the Board of County Commissioners, approves the artwork design drawings, coordinates the installation of the artwork, creates the name plaque and maintains the artwork. How long has Martin County had a public art program? The program started in 1997. The first artwork was installed at the Hobe Sound Public Library in 2001. How many works of art are in the County and where are they located? As of July 2018, seventeen (17) public art projects have been completed. Please see Section 6 – Program Inventory for a list and map of the current AIPP artworks. 19 of 85 PUBLIC INFORMATION ART IN PUBLIC PLACES PROGRAM 4 How do you see the artwork? All artwork is publicly accessible. Artwork located outdoors is available for viewing 24 hours a day or during park hours. Artwork located indoors can be seen during the hours that the building is open to the public. As an artist, how do I apply for to the County to purchase my artworks? Sign-up for the artist roster to receive email notices of “calls to artists” and/or check the website monthly for posted “calls to artists”. The “calls to artists” will list all the criteria necessary to submit a design. Register for email notices https://www.martin.fl.us/AIPP. As a citizen, how do I participate in the public art program? 1. Anyone can attend the meetings of the PASSC including the sessions to review artist applications. The meetings occur on the fourth Monday of every month at 4:00 PM in the Commission Chambers on the 1st floor of the Administration Building at 2401 SE Monterey Rd., Stuart, Florida. 2. The PASSC will sometimes appoint citizens to special subcommittees to assist with art projects usually in their neighborhood. Frequently Asked Questions: County Agencies What Capital Improvement Projects must include 1% of the construction budget for public art? All Martin County Capital Improvement Program projects that include construction projects for 1. Any new building or remodel 2. Any new regional park over 50 acres that is not purchased for passive recreation 3. Any new parking facility Is the qualifying construction project required to have a public art project? No. The PASSC can determine to take the funding generated from a particular construction project and spend the dollars for art elsewhere in the County. How is the 1% calculated? The public art appropriation will be 1% of the construction cost less the first $5,000. The maximum public art appropriation will be $100,000 from any Capital Improvement Program project. How does my department participate in the selection of the artwork? The County Administrator will appoint an advisor to the PASSC from the department to serve on the project subcommittee. This advisor can speak to any and all concerns, but must review the proposed artwork for any issues of safety. Frequently, the department assists the PASSC in locating citizens to serve on the subcommittee for the selection. If the department manages the architect or engineers contract, then the department will coordinate meetings between the architects and engineers and the PASSC during the planning and selection of artworks. After the artist is selected, what, if any, responsibilities does my department have during the building design and construction process related to the art? 20 of 85 PUBLIC INFORMATION ART IN PUBLIC PLACES PROGRAM 5 The department advisor(s) will continue to attend the PASSC subcommittee meeting to review the actual artwork design proposals from the selected artist. In many projects, the artist(s) requests a meeting with the department staff in order to develop the best artwork appropriate to the facility. With the approval of the artwork proposal, the department responsibilities may be limited, as most of the issues will be between the artist and the general contractor. Any facility dedication ceremony should include recognition of the artwork, artist and PASSC. What if my department does not like the selected artwork? By County ordinance, the PASSC has the sole authority to recommend artists and artwork to the Board of County Commissioners. Therefore it is very important that department staff serves on the PASSC project subcommittee and have the authority to speak for the department during all deliberations. The PASSC wishes to satisfy the department, but can only succeed if it hears in a timely manner from the department. Who is responsible for the maintenance of the artwork? The PASSC is responsible for maintenance of the artwork itself. The PASSC will inspect the artwork annually, but would appreciate a phone call to its program manager in the Department of Community Development, if the on- site staff notices any vandalism, damage or other problems. Who is responsible for the area around the artwork? The appropriate county department, not PASSC, is responsible for the area surrounding the art and any operation of lighting for the artwork. During the artwork proposal stage, the artists will submit his/her site maintenance requirements. The artist may request items like tree trimming such that the public easily sees the artwork. This is an important document for acceptance by the department and its maintenance staff. Are there any hidden costs for the department above the 1%? The extra costs are (1) a few meetings between department staff, the PASSC, Department of Community Development staff and/or the artist, (2) meetings with the architect and engineers, and (3) design / construction coordination between the artist and architect and engineers or general contractor. The artist is responsible for such things as the cost of artwork foundations, but he/she might pay the general contractor to construct them. Who manages the public art program? The Martin County Office of Community Development manages the program. (The other two are positive relationships with the client agency and the talent of the artist selected) Below is a list of recommended steps to find the best project for the circumstances. Criteria for Art Location at Facility LOCATION FOR ARTISTIC APPRECIATION Evaluating a specific location to appreciate a future work of art is difficult but important. Remember to evaluate the artwork based on the size permissible by the budget. Below are a few sample questions. • Will the artwork “hold its own” and not be overwhelmed in a vast space or a space full of many other distracting things? And what exactly is the space in question? For example: o Bus Stop: A tiny sculpture on the bench of a bus stop might be perfect for appreciation by waiting riders, whereas a ten-foot sculpture at the same place cannot visually compete with the business signs and moving traffic. o Lobby: A clean high ceiling could provide the aerial space of a mobile where as painting in the same lobby could not be seen through the furniture, signage and indoor plants. • Does the existing or future architecture or landscape form a good backdrop or space for the art? • Is the space large enough to see the whole work? • Is nothing blocking the view of the work? DESIGNING A GOOD SITE No matter what the site, the best situation is a positive attitude by the PASSC, artist, architect and project-related department to create a space of appreciation. Frequently, minor changes may have significant impact. Examples include: • Lighting types, locations and direction • Signage, switches, fire extinguishers can be moved to create clear wall space surrounding the artwork • Plants and trees can be moved • Surface material can be modified to accept the artwork AVOIDING A FEW PRAGMATIC NEGATIVE IMPACTS By carefully examining the building and site design, negative issues can be avoided. • Is the work of art safe from vandalism or accident? • Does the relationship of the sun to the viewer make the appreciation a problem? • Is the work frequently in the dark? • Is the work near trees such that the spotting shadows or leaves discolor the artwork? 30 of 85 PROJECT PLANNING ART IN PUBLIC PLACES PROGRAM 15 • Is the action of people slowing or stopping to view the work a problem for some safety or operational point of view? • Is the work likely to have objects blocking the work like indoor potted plants or parked cars? • Does the site have good overall maintenance? • Does the sprinkler system utilize water with iron that would stain the art? • Can the artwork itself be maintained at that site? 31 of 85 ARTIST/ARTWORK SELECTION ART IN PUBLIC PLACES PROGRAM 16 Artist/Artwork Selection How to Request Public Art in Your Community Citizens can request to have public art in their community. They can do this in the following ways. 1. Make a public presentation to the PASSC. 2. If they are in a Community Redevelopment Area, they can make a request to the Neighborhood Advisory Committee (NAC). The Chairperson of the NAC may then bring the matter to the PASSC. 3. Each request or presentation should contain the following elements: a) The need or desire of the community for the art b) The purpose of the project c) Potential site or sites identified d) Potential theme identified e) Potential medium identified f) Renderings of the project if available g) Potential funding source(s) identified 4. The members of the PASSC will add the project to its Potential Project List. This list identifies all the possibilities within the County of future artworks. Each year, in September, the PASSC will prioritize this list and recommend projects for execution, IF THERE IS FUNDING AVAILABLE. 5. Start of Meeting a) Chairperson chairs the committee actions, but Staff manages the presentations b) Chair and staff together need to be sure that everyone understands the criteria and goals of project c) Recommendation: Ask everyone to express his or her hopes and fears regarding the project d) Staff reviews procedures and use of score and comment sheets 2. Review of Project Presentations – no comments 3. Round One a. Purpose of Round One is to eliminate artists that are obviously inappropriate to the project in a very efficient manner. b. Staff person identifies the artist, answers any questions regarding project, calls for yes/no vote. c. Ask the subcommittee if they wish to return and re-examine any artist. If yes, new vote is held. 4. Round Two a. Develop a short list of completely qualified and appropriate artists. No discussion of the final winner, but lots of discussion about the project and its purpose. b. Staff identifies each artist. c. As the discussion ends for each artist, call for “yes” votes only. Subcommittee members should be very selective in casting “Yes” votes. Artists receiving 50% “yes” votes remain in the preliminary shortlist. 5. Round Three a. Determine a final short list or to pick the winning artist. b. Ask if anyone needs to see particular presentations again. If yes, show them. c. Each subcommittee member can make final statements of support their favorite artist d. If selecting a winner: i. If consensus has emerged, then a committee member should make a motion. This would be followed with a motion for an alternate. ii. If consensus has not emerged, then a vote is held for the winner. Re-votes are held until an artist achieves a 2/3 majority. iii. Follow same procedure for the alternate. e. If selecting the final shortlist and too many artists remain after Round Two, then hold another vote with each person getting three yes votes. The top three are shortlisted. The subcommittee can expand the number of shortlisted artists. 6. Ending the subcommittee a. Each person must make sure that some comment is written in the comment box by each artist on the preliminary shortlist. b. If not completed in Round Three, the chair should ask for a motion approving the winner and alternate or the shortlist. c. If a shortlist is the result, ask the subcommittee members for any particular information that they wish the staff to ask the artist or the references of the artist. d. If a shortlist is the result, Chair reminds the subcommittee members not to discuss the artists between meetings with each other (Sunshine Law) and not to discuss the project with any shortlisted artists (Fair contracting procedure) 41 of 85 ARTIST/ARTWORK SELECTION ART IN PUBLIC PLACES PROGRAM 26 SUBCOMMITTEE MANAGEMENT: MEETING TWO 1. Chair asks to review the Call to Artists and any thoughts by subcommittee members regarding the project itself. If the client agency has any comments, they should be made. This is not about the particular artists. b. While presenting the projects of the artists, the staff summarizes the reference comments and gives any particular information requested by the committee. Subcommittee asks questions to clarify information or presentation. c. AFTER all projects have been presented, each subcommittee member presents an argument for and against any artists that they wish to discuss. EACH subcommittee member MUST speak. d. As the Chair determines, further general discussion can take place. e. If consensus has emerged, then a committee member should make a motion. This would be followed with a motion for an alternate. f. If consensus has not emerged, then a vote is held for the winner. Re-votes are held until an artist achieves a 2/3 majority. g. If the issue is strong preference, please include in "requirements of site" in #8 above. 47 of 85 FORMS MANAGEMENT DOCUMENTS 32 Sample Contracts Restoration Contract AGREEMENT FOR ART SERVICES THIS AGREEMENT is made and entered into this _ _ day of____________, by and between the Martin County Board of County Commissioners, a political subdivision of the State of Florida (``COUNTY'') and ------------------------- (``ARTIST''). 1. The COUNTY has approved a recommendation to commission the ARTIST to refurbish public art for the ______________________________ (such public art hereinafter referenced as ``Work of Art'') as more fully set forth in Exhibit 1; and 2. The ARTIST is willing and able to recreate the Work of Art for the COUNTY on the terms and conditions set forth below; and 3. The COUNTY and the ARTIST wish to enter into this AGREEMENT for the ARTIST's Services for the Project. NOW THEREFORE, in accordance with the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: SECTION 1. SCOPE Of SERVICES 1.1. General. The ARTIST shall perform or provide all services and furnish all supplies, materials and equipment necessary for the design, execution, fabrication and installation of an untitled Work of Art, in accordance with a Proposal submitted to and approved by Martin County, attached hereto as Exhibit 1 and incorporated herein by this reference in its entirety. 1.2. Procedure. The ARTIST shall determine the artistic expression, size, material, texture, color, specific location and method of fabrication of the Work of Art, subject to review and acceptance by the County Administrator, as provided below. 1.3. The Proposal, in a form satisfactory to the COUNTY and the ARTIST, contains the following: 1.3.1. A Scope of work that includes the project cost. 48 of 85 FORMS MANAGEMENT DOCUMENTS 33 1.3.2. A detailed list of any subcontractors who will be performing services for the ARTIST on the Work of Art, including a description of the services to be provided by each subcontractor; 1.3.3. A detailed list of all proposed materials to be utilized by the ARTIST, including but not limited to, the style, type, and color of all materials. 1.3.4. Insurance as required herein. 1.4. Upon execution of this AGREEMENT, the ARTIST shall prepare and submit to the appropriate local officials finalized drawings or other graphic material as is necessary to obtain any necessary approvals for the commencement of fabrication and installation of the Work of Art. 2. SECTION 2. COMPENSATION 2.1. Firm Fixed Price. The COUNTY shall pay the ARTIST a fixed fee of ___________________________ ($___________), which will constitute full compensation for any and all materials and services to be performed and furnished by the ARTIST under this AGREEMENT, including the ARTIST's fee, all as set forth in Exhibit 1 attached hereto and incorporated herein by this reference in its entirety. 2.2. Method of Payment. The COUNTY will, make payment to the ARTIST in _______________(2) equal installments set forth in the Fixed Fee and Payment Schedule attached hereto and incorporated herein. The ARTIST shall request such payment, by submitting: 2.2.1. A properly completed and notarized invoice for progress payment submitted in detail sufficient for audit purposes; 2.2.2. Photographic evidence of the stage of completion; and 2.2.3. An updated Schedule of Contract Values indicate the value of suitably stored material as well as labor performed and materials incorporated into the work for each subdivision of the schedule during the period for which the invoice is prepared. 2.3. The invoices, as set forth above, shall be submitted to the COUNTY's Project Manager. Upon approval by the COUNTY's Project Manager, the COUNTY will process for payment. 3. SECTION 3. GENERAL CONDITIONS 49 of 85 FORMS MANAGEMENT DOCUMENTS 34 3.1. Time of Performance. Any and all services by the ARTIST and the ARTIST's subcontractors in connection with the Work of Art shall commence upon ``Notice to Proceed'' issued by the COUNTY's Project Manager and fifty percent of services shall be completed by 30 days after the “Notice to Proceed”. The ARTIST will then stop work to await the county’s project in the adjacent roundabout to conclude. At the time the County has completed its necessary arrangements and is ready for the Work of Art to be installed, a “Notice to Complete” will be issued by the COUNTY’s Project Manager. Any and all services including installation by the ARTIST and the ARTIST’s subcontractors in connection with the Work of Art shall be completed by 30 days after the “Notice to Complete”. All services shall be in accordance with the construction schedule submitted by the ARTIST and approved by the COUNTY. Reasonable extensions may be granted by the COUNTY in the event that conditions beyond the ARTIST's control, or Acts of God, render compliance with the construction schedule impossible. The COUNTY shall be the sole judge of what conditions are ``beyond the ARTIST's control''. 3.2. Ownership of Documents. Upon completion of the Work of Art and acceptance by the COUNTY, all designs and other materials developed by the ARTIST and submitted to the COUNTY for the purpose of this AGREEMENT shall become the property of the COUNTY. 3.3. Inspection. The COUNTY shall have the right at reasonable times upon three (3) days prior written notice to review the progress of the Work of Art during the fabrication thereof and to receive progress reports from the ARTIST. 3.4. Code Compliance. All work shall be done in compliance with all applicable State of Florida, Martin County and, where applicable, any municipal codes. 3.5. Assignment, Transfer or Subcontracting. A material element of this AGREEMENT is the personal skill, judgement and creativity of the ARTIST. Therefore, the ARTIST shall not assign, transfer or subcontract the creative and/or artistic portions of the Work of Art to another party without the express prior written approval of the COUNTY. 3.6 Warranty of Title. The ARTIST warrants that the Work of Art covered in this AGREEMENT shall be the result of the artistic effort of the ARTIST and that, unless otherwise stipulated, the Work of Art shall be unique, an edition of one. The ARTIST shall deliver the Work of Art free and clear of any liens, claims or other encumbrances of any type arising from the acts of the ARTIST. Upon delivery of the Work of Art, the ARTIST shall furnish a signed and sworn statement to this effect. 3.7. Warranty of Quality. The ARTIST warrants the Work of Art shall be consistent with the Proposal submitted to and approved by the COUNTY. The ARTIST warrants the Work of Art shall be 50 of 85 FORMS MANAGEMENT DOCUMENTS 35 free of detects in material and workmanship and that the ARTIST shall correct any such defects which appear for a period of one (1) year from final acceptance of the Work of Art, at the ARTIST's expense. It is understood by the COUNTY that the Work of Art has been designed and built by the ARTIST as a Work of Art. Any use by the COUNTY for purposes other than for adornment of the site as a Work of Art voids any warranties by the ARTIST. 3.8. Title to the Work of Art. Title to the Work of Art shall vest in the COUNTY at the time of final acceptance by the COUNTY. ARTIST agrees that the Work of Art shall not be photographed, videotaped or otherwise publicized or used in marketing, promotion and/or fundraising, in any manner whatsoever by or on behalf of ARTIST, except as part of ARTIST’s portfolio. The Work of Art shall not be associated with the COUNTY without prior written permission from the County Administrator. Use of the COUNTY seal is prohibited at all times. 3.9. Risk of Loss. The ARTIST shall bear the full risk of loss of, or damage to, the Work of Art until all services have been completed and the Work of Art is accepted by the COUNTY. The ARTIST will take such measures as are necessary to protect the Work of Art from loss or damage. 3.10. Insurance. The ARTIST shall arrange for, and/or ensure that all subcontractors have arranged for public liability and property damage insurance to protect him or herself and any subcontractor performing work required by this AGREEMENT from claims for damage for personal injury, claims for accidental death, as well as from claims of property damage which may arise from operations under this AGREEMENT whether such operations are by the ARTIST or by any subcontractor or anyone directly employed by either of them, and the amounts of such insurance shall at a minimum be as follows: 3.10.1. Worker's Compensation Insurance for all employees of the ARTIST as required by Florida Statutes, Chapter 440. 3.10.2. Public Liability Insurance, in amounts not less than $300,000 per occurrence for bodily injury and $50,000 per occurrence for property damage. The COUNTY must be shown as an additional insured with respect to this coverage. 3.10.3. Automobile Liability Insurance covering all owned, non-owned and hired vehicles used in connection with the Work of Art, in amounts not less than $100,000 per person, and $300,000 per occurrence for bodily injury, and $50,000 per occurrence for property damage. 3.10.4. The insurance coverage required shall include those classifications, as listed in standard liability insurance manuals, which most nearly reflect the operation of the ARTIST. All insurance policies required above shall be issued by companies authorized to do business under the 51 of 85 FORMS MANAGEMENT DOCUMENTS 36 laws of the State of Florida, and the companies must be rated ``A'' for management and not less than Class ``X'' for strength by the latest edition of Best's Insurance Guide, published by A. M. Best Company, Oldwick, New Jersey, or its equivalent, subject to approval by the COUNTY. The provision of adequate insurance coverage is solely the responsibility of the ARTIST. The COUNTY shall in no way be liable for any claims or damages which accrue as a result of inadequate insurance coverage. All coverages shall be Primary and include a Waiver of Subrogation. 3.10.5. The ARTIST shall furnish a certificate of insurance to the COUNTY prior to the commencement of work on the Work of Art which certificate shall clearly indicate that the ARTIST or his/her subcontractors have retained insurance in the type, amount, and classification as required for strict compliance with this section and that no material changes or cancellations of insurance shall be effective without thirty (30) days prior written notice to the COUNTY. The Certificate shall name the Martin Couty Board of County Commissioners, 2401 SE Monterey Rd, Stuart, FL 34996 as additional insured. Compliance with the foregoing requirements shall not relieve the ARTIST of his liability and obligations under this AGREEMENT. This certificate of insurance shall be in force prior to the ARTIST's beginning work on the Work of Art and shall remain in force until at least thirty (30) days after the ARTIST's Notification of Completion. 3.11. Independent Contractor. The ARTIST is an independent contractor and nothing in this AGREEMENT shall be construed as constituting the ARTIST an employee, agent or representative of the COUNTY. The ARTIST shall not be supervised by an employee or agent of the COUNTY. 3.12. Indemnification. The ARTIST and his subcontractors agree to indemnify and hold free and harmless, assume legal liability for and defend, the COUNTY its officers, employees and agents, from and against any and all actions, claims, liabilities, assertions of liability, losses, costs and expenses, including but not limited to attorney's fees, reasonable investigative and discovery costs, court costs, claim or claims for bodily injury or death of persons and for loss of or damage to property, in law or in equity, of every kind and nature whatsoever, which in any manner directly or indirectly may arise or be alleged to have arisen, or resulted or alleged to have resulted from the negligent acts or omissions or other wrongful conduct of the ARTIST and its subcontractors, employees, and agents in connection with the ARTIST's performance of services pursuant to this AGREEMENT. The ARTIST's obligation under this article shall not include indemnification of the COUNTY and its officers, employees and agents, from and against liabilities, losses, costs and expenses attributable to negligent acts or omissions or other wrongful conduct of the COUNTY and its officers, employees and agents or for negligent acts or omissions or other wrongful conduct which occurs or is alleged to have occurred after title to the Work of Art passes to the COUNTY in accordance with this AGREEMENT. The parties each agree to give the other party prompt notice of any claim coming to its knowledge that in any way directly or indirectly affects the other party. 52 of 85 FORMS MANAGEMENT DOCUMENTS 37 The ARTIST shall invoice the COUNTY for ten dollars ($10.00); such said ten dollars ($10.00) from the COUNTY is given in exchange for the ARTIST giving the COUNTY the indemnification provided above. 3.13. Termination Of Agreement. 3.13.1. Termination For Cause or by Mutual Agreement. This AGREEMENT may be terminated by either party: 1) upon seven (7) business days written notice; 2) by mutual agreement; or 3) should one party fail substantially to perform in accordance with its terms through no fault of the other. 3.13.2. Termination For Convenience. The performance of work under this AGREEMENT may be terminated by the COUNTY in accordance with this clause in whole, or from time to time in part, whenever the COUNTY shall determine that such termination is in the best interest of the COUNTY. 3.13.3. Termination For Lack of Funding. The obligations of the COUNTY under this AGREEMENT are subject to the availability of funds lawfully appropriated for its purpose by the Board of County Commissioners of Martin County, Florida. In the event the COUNTY lacks funds to perform its duties under this AGREEMENT, the COUNTY may terminate this AGREEMENT upon no less than twenty-four (24) hours notice in writing to the ARTIST, sent by courier service or by certified mail, return receipt requested. The COUNTY shall be the final authority as to the availability of funds. 3.13.4. Upon termination of this AGREEMENT, the ARTIST shall be only entitled to payment and profit for that portion of work on the Work of Art that is completed to the time of termination. The percentage of completion of the work on the Work of Art shall be determined based upon the approved Schedule of Values. Where the AGREEMENT is terminated for cause by the County, such payment to ARTIST shall be reduced by the amount equal to any additional costs incurred by the County as a result of the termination. 3.14. Publicity and News Releases. The ARTIST shall not, during the performance of this AGREEMENT, disseminate publicity or news releases regarding the Work of Art without prior written approval from the COUNTY. All reproduction by the COUNTY shall contain a credit to the ARTIST. 3.15. Notice. Bill of Sale: Restoration. The ARTIST shall execute and deliver to the COUNTY a bill of sale with the completion of the Work of Art and acceptance by the COUNTY. After final acceptance of the Work of Art, the COUNTY agrees as follows: 3.16.1. The COUNTY shall keep the Work of Art in good condition and repair and permanently display the Work of Art to the public in a manner suitable to a work of fine art; and 3.16.2. The COUNTY shall not destroy or alter Work of Art, and if during the lifetime of the ARTIST the Work of Art is damaged the COUNTY shall notify the ARTIST in writing of the occurrence and the nature of the damage and shall afford the ARTIST a reasonable opportunity to conduct or supervise the restoration of the Work of Art at a price to be mutually agreed upon. If the ARTIST does not take steps to commence the restoration within thirty (30) days after receipt of the notice from the COUNTY, then the COUNTY shall be free to make whatever arrangements it deems appropriate for the proper restoration of the Work of Art. 3.16.3. In the event that the COUNTY fails to maintain the Work of Art in good condition, the ARTIST shall have the right to disown it as his or her creation and request that the nameplate be removed from the Work of Art until its condition is satisfactorily repaired. 3.17. Entirety of Agreement. This writing embodies the entire agreement and understanding between the parties hereto, and there are no other agreements and understanding between the parties hereto, oral or written, with reference to the subject matter thereof that are not merged herein and superseded hereby. No alteration, change, or modification of the terms of the AGREEMENT shall be valid unless made in writing and signed by both parties hereto. This AGREEMENT, regardless of where executed, shall be governed by and construed according to the laws of the State of Florida. 3.18. The ARTIST shall not pledge the County's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien or any form of indebtedness. The ARTIST shall comply with the provisions of Chapter 119, Florida Statutes (Public Records Law) in connection with this AGREEMENT. 3.20. Federal and State Taxes. The COUNTY is exempt from payment of Florida State Sales and Use Taxes. The ARTIST shall not be exempt from paying sales tax to its suppliers for materials used to fulfill contractual obligations with the COUNTY, nor is the ARTIST authorized to use the COUNTY's Tax Exemption Number in securing such materials. The ARTIST shall be responsible for payment of all federal, state, and local taxes and fees incurred in connection with this AGREEMENT. 3.21. Venue; Choice of Law. The validity, interpretation, construction, and effect of this AGREEMENT shall be in accordance with and governed by the laws of the State of Florida, only. The location for settlement of any and all claims, controversies, or disputes, arising out of or relating to any part of this AGREEMENT, or any breach hereof, as well as any litigation between the parties, shall be Martin County, Florida. 4. SECTION 4. SPECIAL PROVISIONS 4.1. Artist Payment Rights. Pursuant to Section 218.70, Florida Statutes, the Local Government Prompt Payment Act, the ARTIST providing goods and services to the COUNTY should be aware of the following time frames. Upon receipt of a ``proper invoice'' as set forth in Florida Statutes section 218.72(1), the COUNTY has forty-five (45) days to pay the proper invoice. If payment is not made to the ARTIST within thirty (30) days after the due date, the payment will bear interest at the rate of one (1) percent per month. Payment of such interest shall be in accordance with Florida Statutes section 218.74. Invoices which have to be returned to an ARTIST because of ARTIST preparation errors will result in a delay in the payment. The Invoice shall be submitted to the COUNTY's Project Manager for processing. 4.2. Public Entity Crimes. A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid on a contract to provide any goods or services to a public entity, may not submit a bid an a contract with a public entity for the construction or report of a public building or public work, may not submit bids on leases of real property to a public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in section 287.017, Florida Statutes for Category Two (currently $25,000) for a period of 36 months from the date of being placed on the convicted vendor list. The COUNTY has approved a recommendation to commission the ARTIST to create public art for the ___________________ (such public art hereinafter referenced as ``Work of Art'') as more fully set forth in Exhibit 1; and 2. The ARTIST is willing and able to create the Work of Art for the COUNTY on the terms and conditions set forth below; and 3. The COUNTY and the ARTIST wish to enter into this AGREEMENT for the ARTIST's Services for the Project. NOW THEREFORE, in accordance with the mutual covenants herein contained and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: SECTION 1. SCOPE Of SERVICES 1.1. General. The ARTIST shall perform or provide all services and furnish all supplies, materials and equipment necessary for the design, execution, fabrication and installation of an untitled Work of Art, in accordance with a Proposal submitted to and approved by Martin County, attached hereto as Exhibit 1 and incorporated herein by this reference in its entirety. 1.2. Procedure. The ARTIST shall determine the artistic expression, size, material, texture, color, specific location and method of fabrication of the Work of Art, subject to review and acceptance by the County Administrator, as provided below. 1.3. The Proposal, in a form satisfactory to the COUNTY and the ARTIST, contains the following: 1.3.1. A Scope of work that includes the project cost. 58 of 85 FORMS MANAGEMENT DOCUMENTS 43 1.3.2. A detailed list of any subcontractors who will be performing services for the ARTIST on the Work of Art, including a description of the services to be provided by each subcontractor; 1.3.3. A detailed list of all proposed materials to be utilized by the ARTIST, including but not limited to, the style, type, and color of all materials. 1.3.4. Insurance as required herein. 1.4. Upon execution of this AGREEMENT, the ARTIST shall prepare and submit to the appropriate local officials finalized drawings or other graphic material as is necessary to obtain any necessary approvals for the commencement of fabrication and installation of the Work of Art. 2. SECTION 2. COMPENSATION 2.1. Firm Fixed Price. The COUNTY shall pay the ARTIST a fixed fee of __________________________, which will constitute full compensation for any and all materials and services to be performed and furnished by the ARTIST under this AGREEMENT, including the ARTIST's fee, all as set forth in Exhibit 1 attached hereto and incorporated herein by this reference in its entirety. 2.2. The ARTIST shall request such payment, by submitting: 2.2.1. A properly completed and notarized invoice for progress payment submitted in detail sufficient for audit purposes; 2.2.2. Photographic evidence of the stage of completion; and 2.2.3. An updated Schedule of Contract Values indicate the value of suitably stored material as well as labor performed and materials incorporated into the work for each subdivision of the schedule during the period for which the invoice is prepared. 59 of 85 FORMS MANAGEMENT DOCUMENTS 44 2.3. The invoices, as set forth above, shall be submitted to the COUNTY's Project Manager. Upon approval by the COUNTY's Project Manager, the COUNTY will process for payment. 3. SECTION 3. GENERAL CONDITIONS 3.1. Time of Performance. Any and all services by the ARTIST and the ARTIST's subcontractors in connection with the Work of Art shall commence upon ``Notice to Proceed'' issued by the COUNTY's Project Manager and fifty percent of services shall be completed by 30 days after the “Notice to Proceed”. The ARTIST will then stop work to await the county’s project in the adjacent roundabout to conclude. At the time the County has completed its necessary arrangements and is ready for the Work of Art to be installed, a “Notice to Complete” will be issued by the COUNTY’s Project Manager. Any and all services including installation by the ARTIST and the ARTIST’s subcontractors in connection with the Work of Art shall be completed by 30 days after the “Notice to Complete”. All services shall be in accordance with the construction schedule submitted by the ARTIST and approved by the COUNTY. Reasonable extensions may be granted by the COUNTY in the event that conditions beyond the ARTIST's control, or Acts of God, render compliance with the construction schedule impossible. The COUNTY shall be the sole judge of what conditions are ``beyond the ARTIST's control''. 3.2. Ownership of Documents. Upon completion of the Work of Art and acceptance by the COUNTY, all designs and other materials developed by the ARTIST and submitted to the COUNTY for the purpose of this AGREEMENT shall become the property of the COUNTY. 3.3. Inspection. The COUNTY shall have the right at reasonable times upon three (3) days prior written notice to review the progress of the Work of Art during the fabrication thereof and to receive progress reports from the ARTIST. 3.4. Code Compliance. All work shall be done in compliance with all applicable State of Florida, Martin County and, where applicable, any municipal codes. 3.5. Assignment, Transfer or Subcontracting. A material element of this AGREEMENT is the personal skill, judgement and creativity of the ARTIST. Therefore, the ARTIST shall not assign, transfer or subcontract the creative and/or artistic portions of the Work of Art to another party without the express prior written approval of the COUNTY. 60 of 85 FORMS MANAGEMENT DOCUMENTS 45 3.6 Warranty of Title. The ARTIST warrants that the Work of Art covered in this AGREEMENT shall be the result of the artistic effort of the ARTIST and that, unless otherwise stipulated, the Work of Art shall be unique, an edition of one. The ARTIST shall deliver the Work of Art free and clear of any liens, claims or other encumbrances of any type arising from the acts of the ARTIST. Upon delivery of the Work of Art, the ARTIST shall furnish a signed and sworn statement to this effect. 3.7. Warranty of Quality. The ARTIST warrants the Work of Art shall be consistent with the Proposal submitted to and approved by the COUNTY. The ARTIST warrants the Work of Art shall be free of detects in material and workmanship and that the ARTIST shall correct any such defects which appear for a period of one (1) year from final acceptance of the Work of Art, at the ARTIST's expense. It is understood by the COUNTY that the Work of Art has been designed and built by the ARTIST as a Work of Art. Any use by the COUNTY for purposes other than for adornment of the site as a Work of Art voids any warranties by the ARTIST. 3.8. Title to the Work of Art. Title to the Work of Art shall vest in the COUNTY at the time of final acceptance by the COUNTY. ARTIST agrees that the Work of Art shall not be photographed, videotaped or otherwise publicized or used in marketing, promotion and/or fundraising, in any manner whatsoever by or on behalf of ARTIST, except as part of ARTIST’s portfolio. The Work of Art shall not be associated with the COUNTY without prior written permission from the County Administrator. Use of the COUNTY seal is prohibited at all times. 3.9. Risk of Loss. The ARTIST shall bear the full risk of loss of, or damage to, the Work of Art until all services have been completed and the Work of Art is accepted by the COUNTY. The ARTIST will take such measures as are necessary to protect the Work of Art from loss or damage. 3.10. Insurance. The ARTIST shall arrange for, and/or ensure that all subcontractors have arranged for public liability and property damage insurance to protect him or herself and any subcontractor performing work required by this AGREEMENT from claims for damage for personal injury, claims for accidental death, as well as from claims of property damage which may arise from operations under this AGREEMENT whether such operations are by the ARTIST or by any subcontractor or anyone directly employed by either of them, and the amounts of such insurance shall at a minimum be as follows: 61 of 85 FORMS MANAGEMENT DOCUMENTS 46 3.10.1. Worker's Compensation Insurance for all employees of the ARTIST as required by Florida Statutes, Chapter 440. 3.10.2. Public Liability Insurance, in amounts not less than $300,000 per occurrence for bodily injury and $50,000 per occurrence for property damage. The COUNTY must be shown as an additional insured with respect to this coverage. 3.10.3. Automobile Liability Insurance covering all owned, non-owned and hired vehicles used in connection with the Work of Art, in amounts not less than $100,000 per person, and $300,000 per occurrence for bodily injury, and $50,000 per occurrence for property damage. 3.10.4. The insurance coverage required shall include those classifications, as listed in standard liability insurance manuals, which most nearly reflect the operation of the ARTIST. All insurance policies required above shall be issued by companies authorized to do business under the laws of the State of Florida, and the companies must be rated ``A'' for management and not less than Class ``X'' for strength by the latest edition of Best's Insurance Guide, published by A. M. Best Company, Oldwick, New Jersey, or its equivalent, subject to approval by the COUNTY. The provision of adequate insurance coverage is solely the responsibility of the ARTIST. The COUNTY shall in no way be liable for any claims or damages which accrue as a result of inadequate insurance coverage. All coverages shall be Primary and include a Waiver of Subrogation. 3.10.5. The ARTIST shall furnish a certificate of insurance to the COUNTY prior to the commencement of work on the Work of Art which certificate shall clearly indicate that the ARTIST or his/her subcontractors have retained insurance in the type, amount, and classification as required for strict compliance with this section and that no material changes or cancellations of insurance shall be effective without thirty (30) days prior written notice to the COUNTY. The Certificate shall name the Martin Couty Board of County Commissioners, 2401 SE Monterey Rd, Stuart, FL 34996 as additional insured. Compliance with the foregoing requirements shall not relieve the ARTIST of his liability and obligations under this AGREEMENT. This certificate of insurance shall be in force prior to the ARTIST's beginning work on the Work of Art and shall remain in force until at least thirty (30) days after the ARTIST's Notification of Completion. 62 of 85 FORMS MANAGEMENT DOCUMENTS 47 3.11. Independent Contractor. The ARTIST is an independent contractor and nothing in this AGREEMENT shall be construed as constituting the ARTIST an employee, agent or representative of the COUNTY. The ARTIST shall not be supervised by an employee or agent of the COUNTY. 3.12. Indemnification. The ARTIST and his subcontractors agree to indemnify and hold free and harmless, assume legal liability for and defend, the COUNTY its officers, employees and agents, from and against any and all actions, claims, liabilities, assertions of liability, losses, costs and expenses, including but not limited to attorney's fees, reasonable investigative and discovery costs, court costs, claim or claims for bodily injury or death of persons and for loss of or damage to property, in law or in equity, of every kind and nature whatsoever, which in any manner directly or indirectly may arise or be alleged to have arisen, or resulted or alleged to have resulted from the negligent acts or omissions or other wrongful conduct of the ARTIST and its subcontractors, employees, and agents in connection with the ARTIST's performance of services pursuant to this AGREEMENT. The ARTIST's obligation under this article shall not include indemnification of the COUNTY and its officers, employees and agents, from and against liabilities, losses, costs and expenses attributable to negligent acts or omissions or other wrongful conduct of the COUNTY and its officers, employees and agents or for negligent acts or omissions or other wrongful conduct which occurs or is alleged to have occurred after title to the Work of Art passes to the COUNTY in accordance with this AGREEMENT. The parties each agree to give the other party prompt notice of any claim coming to its knowledge that in any way directly or indirectly affects the other party. The ARTIST shall invoice the COUNTY for ten dollars ($10.00); such said ten dollars ($10.00) from the COUNTY is given in exchange for the ARTIST giving the COUNTY the indemnification provided above. 3.13. Termination Of Agreement. 3.13.1. Termination For Cause or by Mutual Agreement. This AGREEMENT may be terminated by either party: 1) upon seven (7) business days written notice; 2) by mutual agreement; or 3) should one party fail substantially to perform in accordance with its terms through no fault of the other. 3.13.2. Termination For Convenience. NOW, THEREFORE, BE IT ORDAINED BY THE BOARD OF COUNTY COMMISSIONERS OF MARTIN COUNTY, FLORIDA, THAT: Part One: Sections 13.2, 13.3, 13.4, 13.5, 13.6, 13.7 and 13.8 of Chapter 13, Code of Laws and Ordinances of Martin County, Florida, entitled “Art in Public Places,” are amended as follows: Sec. 13.2. Definitions. For the purpose of this chapter, the terms listed below shall have the following definitions: Architectural enhancement is the architectural embellishment of a building, the placement of works of art in the interior or exterior spaces of the building, or special landscape treatments such as parks, plazas or atriums. Architectural enhancement may be an integral part of the building, situated within or outside the building, may be located in or near government facilities which have already been constructed, or may be located in other public places where numbers of people may experience them. Art in Public Places Five-Year Siting Plan Five-Year Plan is a plan developed by the Department of Administration, in consultation with the Education Foundation of Martin County, the Arts Council of Martin County, as well as other local arts organizations, in accordance with the Public Art Master Plan, reviewed by the Public Art Site Selection Committee and subject to review and approval by the Board of County Commissioners. Such plan shall set forth a plan for the program development, participation and coordination with local education institutions and students, implementation, funding and placement of public art. This plan may be revised from time to time as may be necessary in order to accommodate grants or other non-County funding sources or other changes which the Board of County Commissioners deems necessary to further the goals of Art in Public Places. The plan shall be reviewed annually by the Public Art Site Selection Committee and the Board of County Commissioners and updated as required. Updates and revisions to the plan are subject to Board of County Commissioner approval. Public Art Site Selection Committee is the board created in this chapter. 78 of 85 ORDINANCE ART IN PUBLIC PLACES PROGRAM 63 Department of Administration is the entity designated by the County Administrator to coordinate the County's Public Art Program. Professional Artist is a person or group who meets at least 3 of the following criteria: A. the individual or group has received public or peer recognition: 1. in the form of honors, awards, professional prizes, scholarships, honorable mentions, appointments to an adjudication committee or invitations to participate in a group exhibition or performance; OR 2. by publicly disseminated critical appraisal; B. the individual’s or group’s artistic activity has been presented to the public by means of exhibitions, publications, performances, readings, screenings or any other means; C. the individual or group promotes or markets their work: 1. by means including attending auditions, seeking sponsorship, agents, engagements or exhibitions and similar activities appropriate to the nature of their work; OR 2. by being represented by a dealer, publisher, agent or similar representative appropriate to the nature of their artistic activity; D. the individual or group has received training or acquired traditional knowledge: 1. in an educational institution or from a practitioner or teacher recognized within their profession; OR 2. within the established practice of their cultural traditions; E. the individual or group holds copyright in their work and has received royalty or residual payments based on that copyright; F. the individual or group has a business license issued by the county or municipality in which they are carrying on business related to their artistic activity; G. the individual or group has membership in an organization representing their artistic activity whose membership, or categories of membership, is or are limited under standards established by the organization, or that is an artists’ association. Public Art Master Plan is a plan containing written guidelines and procedures to govern the manner and the method of selection of proposed sites, works of art, as well as architectural enhancements and special landscape treatments; the process for participation and coordination with local education institutions and students; and the process for developing a five- year plan for program development funding, implementation, annual budget, and placement of public art. The plan will also provide for a comprehensive program for art in public places which shall include the display of donated, loaned or leased art in appropriate public buildings places, including temporary installations. The plan shall be developed by the Department of Administration in consultation with the Education Foundation of Martin County, the Arts Council of Martin County, as well as other arts organizations and the Public Art Site Selection Committee, subject to approval by the Board of County Commissioners before its utilization by the Public Art Site Selection Committee. The plan shall be reviewed annually by the Public Art Site Selection Committee and updated as required, including as necessary to accommodate grants or other non- County funding sources. Updates and revisions to the plan are subject to Board of County Commissioners approval. Public Art Site Selection Committee is the board created in this chapter. Public capital facility is any capital improvement paid for wholly or in part by Martin County or paid for with monies granted to Martin County by other governmental agencies; limited to any project to construct or remodel a building, regional parks in excess of 50 acres which have not been purchased for passive recreational use, parking facility or any portion thereof within the County limits of Martin County, Florida. Public places are properties in which the County or State have an interest by ownership, easement or lease that serve a public purpose and provide an opportunity for placement of art that is visible and open to the public, including but not limited to parks, buildings and roadways. County-owned parks and buildings with high visibility and/or heavy pedestrian traffic that are open to the public. Remodel means and includes alterations or renovations to a public capital facility that exceed 50% of the building value, expansion or upgrading the capacity of a public capital facility, increasing the floor area of a building 5,000 square feet or 50%, whichever is less, or creating a new use for the public capital facility. Special landscape treatment is landscaping that goes beyond the requirements of Martin County Land Development Regulations Article 4, Division 15, Landscaping, Buffering and Tree Protection, in order to create a park-like setting or plaza. 79 of 85 ORDINANCE ART IN PUBLIC PLACES PROGRAM 64 Works of art are tangible objects produced according to aesthetic principles, including paintings, sculpture, engravings, carvings, frescos, mobiles, murals, collages, mosaics, statues, bas-reliefs, tapestries, photographs, and drawings and eco-art installations. Sec. 13.3. Public Art Site Selection Committee; creation, composition, responsibility. 13.3.A. A Public Art Site Selection Committee facilitated by the County's Department of Administration is hereby created and shall have the duty and responsibility to review the Art in Public Places Ordinance and the Public Art Master Plan and the Art in Public Places Five-Year Siting Plan Five-Year Plan for review and approval by the Board of County Commissioners, to identify sites in accordance with the Public Art Master Plan, to identify sources of funding for art in public places exhibitions, and to hold public meetings to solicit public comment for specific public art projects. and those contained in the Art in Public Places Five- Year Siting Plan. 13.3.B. The Public Art Site Selection Committee shall be comprised of the appointed seven members of the Martin County Community Redevelopment Agency. 13.3.C. The architect or other design professionals for a specific County project may advise the County during the selection process as it relates to the project. 13.3.D. Except as otherwise limited by the Public Art Master Plan, this chapter, or other law, rule, regulation or ordinance, the Public Art Site Selection Committee may adopt written policies and procedures to assist it in the performance of its duties. Sec. 13.4 – Architectural enhancement rules. Except as provided herein, all estimates for the construction and/or remodel renovation of public facilities and all requests for appropriations for such projects shall include an amount for Art in Public Places, which amount represents an amount for architectural enhancement, and for restoration and maintenance of works of art, equal to one percent of the total estimated cost of each public capital facility, except such projects located at Martin County Airport, Witham Field. The one percent amount shall be calculated on the total cost of the construction and/or remodel, excluding the first $5,000.00. This one percent of cost is to be spent on architectural enhancement of public capital facilities pursuant to the Art in Public Places Five-Year Siting Public Art Master Plan. However, any funds derived from bond revenue or general obligation bond issues or from utility revenues or other special purpose funds or funds dedicated pursuant to the terms of a bond or other debt obligation resolution shall be expended pursuant to the bond covenants. 13.4.A. The requirement that one percent of the public capital facility’s construction and/or remodel budget shall be encumbered shall only apply if such an expenditure is legally permissible for that project under the specific project funding sources. If the source of funding or other appropriate law with respect to any particular project precludes art as an object of expenditure of funds, the amount of funds so restricted shall be excluded from the aforesaid calculation. 13.4.B. Architectural enhancements donated or loaned to the County may be accepted for installation only if the Department of Administration determines such enhancements are consistent with the Public Art Master Plan. This provision does not apply to architectural enhancements donated or loaned to the County before the effective date of this chapter. 13.4.C. The custodians of architectural enhancements in public capital facilities shall determine the location of donated or loaned architectural enhancements. Sec. 13.5. Procedures. 13.5.A. For construction or remodel of public capital facilities financed wholly or in part by Martin County, except such projects located at Martin County Airport, Witham Field, the following procedure shall be complied with: 13.5.A. 1. Early in the design of a project, the architect or other design professional retained for that project shall work with the Department of Administration and such County employees as the Board of County Commissioners may designate to develop a site plan for adding works of art artworks, architectural 80 of 85 ORDINANCE ART IN PUBLIC PLACES PROGRAM 65 enhancements or special landscape treatments to the projects in accordance with the Public Art Master Plan Art in Public Places Five-Year Plan. 13.5.B. 2. The staff of each public capital facility or public place shall be consulted by the Department of Administration about safety issues related to the works of art works, architectural enhancements or special landscape treatments. The public facility designer and the County Engineer shall also be consulted by the Department of Administration about such safety issues. 13.5.C. 3. The Public Art Site Selection Committee shall conduct a public meeting to solicit public input concerning works of art works, architectural enhancements or special landscape treatments for the project in accordance with the Public Art Master Plan Art in Public Places Five-Year Plan. The public input and recommendations shall be transmitted to the Department of Administration. In no case shall the Public Art Site Selection Committee take such time to conduct the meeting as to delay or hinder the design or construction of the project. 13.5.D. 4. Following the Public Art Site Selection Committee public meeting, the Department of Administration shall prepare a scope of work to be used in a solicitation for proposals from artists. In order to ensure competition, the Board of County Commissioners by and through the Department of Administration, and in coordination with the County Purchasing Division, shall publicize all County projects through use of the internet, the State of Florida, Division of Cultural Affairs' "Call to Artists," or other methods deemed appropriate by the Department of Administration. At a minimum, adequate notice shall be published in a newspaper of general circulation for a reasonable time prior to the time set for the submission of responses. Such notices shall include the locations of the works of art artworks, architectural enhancements or special landscape treatments, the criteria by which such works of art artworks, architectural enhancements or special landscape treatments will be evaluated, deadlines for submission, and cost range. 13.5.E. 5. In addition, the Public Art Site Selection Committee shall hold a public meeting to evaluate the submissions and make recommendations to the Board of County Commissioners for the project. The Board of County Commissioners shall, in its discretion, accept or reject the recommendations from the Public Art Site Selection Committee. If such recommendations are rejected, the Board of County Commissioners may request the Department of Administration to solicit additional proposals or issue a revised scope of work. 13.5.F. 6. All public art projects funded through the provisions of this chapter are open to professional artists. Sec. 13.6. - Art in public places fund. 13.6.A. There is hereby established a fund designated as the "Art in Public Places Fund." All funds set aside pursuant to this article from each public capital facility project, the construction or remodeling of which has not commenced as of the effective date of this chapter, together with such other funds as the Board of County Commissioners shall appropriate for works of art through grants, bequests and funds donated by the general public for works of art shall be deposited into this fund. Interest accrued to the funds shall e allocated in accordance with the provisions of Chap 13, General Ordinances, Martin County Code. These funds shall be expended by the Board of County Commissioners for public capital facility projects as prescribed by the guidelines. Any funds not expended by the end of any fiscal year shall be carried over to the next fiscal year. Any funds carried over (5) years and still unexpended at the expiration of such period shall remain in the fund to be used for maintenance of existing Martin County Art in Public Places inventory only. Any funds derived from revenue or general obligation bond issues or from utility revenues or other special purpose funds or funds dedicated pursuant to the terms of a bond or other debt obligation resolution shall be expended pursuant to the bond covenants and, if unexpended within five years, revert to the bond, fund or project from which appropriated. 13.6.B In any fiscal year that the public capital projects provide funds to Art in Public Places in an amount less than fifty thousand dollars ($50,000.00), the Board of County Commissioners shall budget from the General Fund to the Art in Public Places Fund the balance necessary to fund public art projects with at least fifty thousand dollars ($50,000.00).The total funds set aside for each public works project shall 81 of 85 ORDINANCE ART IN PUBLIC PLACES PROGRAM 66 include public art fund administration costs, signage, dedication costs, insurance costs and repair and maintenance of any works or art acquired under this chapter. 13.6.C. Funds contained within the Art in Public Places Fund shall be, as close as possible, allocated as follows: seventy percent (70%) for art construction, appropriation and/or installation, fifteen percent (15%) for the administration of all facets of the art in public places program (to include exhibit, programming, education, lighting, signage, dedication, insurance, etc.) and fifteen percent (15%) for repair and maintenance of the art acquired under this chapter that is installed in public places. Sec. 13.7 – Selection Criteria for Sites and Public Art. During the selection process, the Public Art Site Selection Committee shall consider the following criteria: 13.7.A. Works of art Art works, architectural enhancements and special landscape treatments shall be located in areas where residents and visitors live, work or congregate and shall be highly visible and accessible. 13.7.B. The appropriateness to the site, permanent or temporary nature permanence of the work relative to environmental conditions, maintenance requirements and costs, and the enduring nature of the artistic statement. 13.7.C. Sensitivity to the aesthetic and cultural traditions and the history of Martin County, Florida, and also to the surrounding neighborhood’s character. 13.7.D. The artist’s biography and resume, examples of existing works, technical competency, similarity to existing works of art and the following basics: form, texture, color, clarity, line and medium. 13.7.E. The opportunity for participation and coordination with local educational institutions and students. Sec. 13.8. Ownership and maintenance. 13.8.A. Unless otherwise provided, ownership of all works of art and architectural enhancements acquired by Martin County under this section shall be vested in Martin County, including copyrights, patents and other reproduction rights. The Board of County Commissioners shall be responsible for managing the reproduction rights of each acquisition. Custody, supervision, maintenance, and preservation of the works of art is are the charge of the Board of County Commissioners and shall be carried out by qualified art professionals, with appropriate collaboration of Department of Administration staff or appointee. 13.8.B. Artists may have limited reproduction rights for portfolio purposes. Artists may not associate themselves or their work with Martin County without prior written permission from the County Administrator. Artists’ use of the County seal is prohibited. 13.8.C. Artwork may be decommissioned, surplused and sold or may be donated to a not-for-profit entity or governmental agency. Part Two. Conflicting Provisions. Special acts of the Florida Legislature applicable only to unincorporated areas of Martin County, County Ordinances and County Resolutions, or parts thereof, in conflict with this ordinance are hereby superseded by this Ordinance to the extent of such conflict. Part Three. Severability. If any portion of this Ordinance is for any reason held or declared to be unconstitutional, inoperative or void, such holding shall not affect the remaining portions of this Ordinance. If this Ordinance or any provision thereof shall be held inapplicable to any person, property or circumstances, such holding shall not affect its applicability to any other person, property or circumstances. For any vibrant, public art program it is essential that the talents, specialties and vision of its local artists are known and cultivated. This program has not, in recent years, focused on the local art community, who they are and what they can contribute. Staff recommends holding a Local Artist Open House so that this committee and the public interested in supporting Art in Public Places in Martin County can identify and become familiar with those involved in the local art scene, and to re-introduce the Martin County Art in Public Places program to them as well. Defined Goals and Outcomes • Develop a database of local artists • Introduce the Martin County Art in Public Places program to the community via website and new Program Management docs • Survey done to ascertain artists’ visions, specialties, mediums, expertise, etc. • Survey done for the public to ascertain what type of public art they would like • Arts education for the committee and public • Begin developing partnerships to leverage access to arts funding and opportunities. (This could include the City of Stuart, nonprofits, individuals, artist groups, etc.) This event could happen in the first quarter of 2019. Staff is also exploring working with the City of Stuart on this. We envision having local artists sign up to have a table and to use that space to “introduce” themselves to the community and the Public Art Site Selection Committee. During the event, we would recommend having some discussion of artists’ vision of art in Martin County, possibly as a round table or panel format. We would also recommend a survey for artists and the public as a useful tool to gather data.
